We are currently seeking a driven and enthusiastic Paralegal who can go above and beyond the call of duty to join our Seattle, WA Team!

The Paralegal role is critical to the success of the business, helping to organize the legal department and help oversee the company’s corporate compliance program.

What You’ll Do

  • Form and help maintain corporate entities, including confirming annual filings.
  • Assist with corporate record keeping – drafting resolutions, consents and other corporate documents.
  • Participate in corporate strategy sessions and help obtain necessary corporate licenses and approvals to do business.
  • Assist with Board meeting preparation.
  • Help administer the company’s stock plan software (Carta).
  • Help develop policies and procedures for vendor management.
  • Negotiate and administer non-disclosure agreements.
  • Assist with legal intake, compliance and file management.

What You’ll Bring

  • 4+ years of experience as a corporate paralegal.
  • Thorough familiarity with corporate records, including LLC and corporation charter documents, meeting minutes, unanimous written consents, etc.
  • Proficiency with G Suite (Gmail, Hangouts, Calendar, Docs, Sheets) and SharePoint and extensive experience organizing files.
  • Experience closing large corporate and commercial transactions (capital raising, credit facilities, stock plan administration, etc.).
  • Experience negotiating NDAs and confidentiality agreements.
  • Excellent writing and communication skills.
  • Exposure to WA, CA and DE corporate law preferred.
  • Ability to problem solve without much input from others.
  • Bachelor’s degree and paralegal certificate preferred.
  • Ability to work in the downtown Seattle office is required (this is not a remote position).
